Abstract:Managers turn strategic vision into operational reality, but directors represent shareholders and must evaluate strategy based on how the company's returns compare with those of other investment opportunities. A low key, behind the scenes audit of strategy, designed to lend credibility to management's leadership is an important board tool. A strategic audit committee should be made up of outside directors to evaluate strategy using objective financial measurements. Effective strategic oversight can anticipate problems and show shareholders that boards and CEO's have a joint commitment to effective and orderly governance.
