Abstract:The strategic aspects of board committees - particularly the audit, compensation, and nominating committees - are considered. The role of board committees in maintaining corporate legitimacy, protecting directors from excessive exposure to liability, and contributing to the formulation of corporate strategy is discussed. The strategy with respect to standard practices in the firm's industry and the strategy for maximum liability protection are analyzed. Most firms don't use the strategy committee, but should seriously consider establishing board committee as a way to promote the board's involvement in strategic planning. The board's committee structure, in a sense, has strategic importance itself.
