Abstract: | The main modes of foreign enterprises merging China's state enterprises are as follows: 1. purchasing the whole property rights of state enterprises to make them solely foreign- funded ones, 2. purchasing over 50% of enterprises' shares to make them holding enterprises, 3. foreign businessmen hold over 50% of shares in joint ventures, 4. foreign businessmen decrease gradually Chinese side's shares by increasing capital and shares in an effort to make them holding enterprises. The countermeasures are as follows: 1. establishing China's system for competition, 2. giving "national treatment" to foreign-invested enterprises according to international practice, 3. strengthening policy guidance to industries and formulating "Catalogue Guiding Foreign Investment by the State", "Industrial Policy Law" and "Law on Foreign Enterprises Investment". |
