Abstract:Basing on the analysis of the typical characteristic of mergers of state-owned enterprises, this essay starts from the present structural framework and economic background and probes both the positive and negative roles government plays in mergers of state-owned enterprises. Positive effects mainly reflect in the aspects of intermediary substitution, inter-sectoral coordination, orientation of production policy, ensuring benefits of those related. Negative effects mainly are embodied in the administrative monopolization in transactions of property rights, which is caused by the pursuit of departmental interest and in the low effectiveness of resource allocations; etc. In merger of enterprises, government's proper interference is necessary in the transitional process; government should concentrate its efforts to give full play to policies, laws of mergers.
