Abstract:The direct reason why most large and medium-sized state-owned enterprises which have been reformed into companies still operate poorly is the reformed enterprises' governance existing serious problems. The author thinks that the source of high efficiency of a modern company is the very standard governance. The two reasons of the reformed state-owned enterprises' un-standard governing structures are as follows: first, the absence of the state-owned assets owners leads to the poor constraint from the owners. Second, the leaders of the companies are always arranged by the governments. The way to overcome the above two shortcomings is to change the state-owned assets owners' shares holding positions in the companies through adjusting the shares structure with decentralizing the state-owned shares.
