Abstract:While some critics have argued that the government should legislate board reform , the author of this article believes that is both inadvisable and unnecessary. There are still many unexploited opportunities for boards to improve corporate performance rather than simply confining themselves to mopping up after disasters. As a long-time member of many boards, the author recommends a series of changes - and the right questions to ask when diagnosing board size, committee responsibilities, and how the board conducts its business.
