Abstract:They sit in a corporation's inner sanctum. They settle into high-backed chairs round burnished mahogany conference tables. And what they say and do is often an enigmato anyone outside those closed doors. They are the directors in the boardroom, a collection of names, egos, and experience that serves as the critical link between a public company's owners -- its sharehholders -- and management. That, at least, in the theory. In practice, too many boards have been mere "ornaments on a corporate Christmas tree."
