Abstract:Shareholder lawsuits alleging fraudulent financial reporting are major concern to managers. Yet, despite the considerable attention paid to shareholder litigation in corporate boardrooms and policy debates, there is scant systematic evidence bearing on this issue. The objective of this study is to shed light on securities litigation by examining the characteristics of companies sued by their shareholgers against similar at risk companies that escaped lawsuits. Paticular attention is paid to differences in the disclosure policies and the frequency of warnings issued prior to an earnings disappointment.
