Abstract:The key roles and tasks of boards of directors are viewed and it is proposed that there is no universally correct way for a board to function. All boards are different, the businesses are different and the relationships are complex, interactive and subtle. The board must be clear about where it wants the business to go. The board's job is strategy and direction. Clear distinctions are drawn between the roles of chairman and chief executive. The chairman is head of the board, the chief executive is head of the organization. The essence of the board's role is to create tomorrow's company out of today's: continuous corporate renewal. The chief executive must be open to creative suggestions from board members.
