| Abstract: | It is difficult to optimize the incentive and restraint mechanisms of state-owned enterprises simply depending on transferring power to a lower level and giving up profit. Therefore, the contingent governance mechanism needs to be redesigned. The complete mechanism includes three factors: subject, signal and procedure of the contingent governance. This paper designs the contingent governance mechanism of state-owned enterprises and expresses its concrete ideas as to the confirmation of the subject, the program design of contingent governance, the program design when workers are regarded as the subject of the contingent governance and the contingent governance program design of share holders and creditors, the improvement of procedures of management, acquisition and bankruptcy, the coordination of various programs and the design of signal system. |
