Abstract:Corporate governance reforms in the United States (U.S.) have introduced extensive regulations and guidelines for public corporations, especially corporate boards (henceforth as: brd./brds). In this article, it is evaluated the extent to which empirical research on brds. and firm performance (here as: f-perf.) supports these reforms. Based on a review of 105 studies published from 1989 to 2005, it is found that most of the practices mandated by the Sarbanes-Oxley Act of 2002, and the regulations issued by the New York Stock Exchange (NYSE) and the NASDAQ, had not been subject to prior study. In case of brd. characteristics having been studied, there is found limited guidance for policy makers on identifying governance practices resulting in more effective f-perf.
