Abstract:The board of directors may be the most underutilized strategic weapon in the managerial arsenal of the privately held company. Many owners of privately held firms have only recently recognized the potential of a functioning board of directors to add value (economic, human, and intellectual) to their organizations. Even when a board is in place, its focus often ignores the preeminent opportunity it represents: the creation and use of a board of directors as a significant strategic act for the development and enhanced performance of a company.
