Abstract:The article deals with the issue of corporate social responsibility (CSR) and corporate governance, especially concerning the directors' duty. It is looked at how the responsibility to promote a corporation or company's success can provide opportunity or encouragement to implement responsible strategies from directors and management alike, and how legal liability is influenced by moral liability. Examined are also the shift in company reporting to reflect social responsibility, and how CSR and a portfolio balanced by environmental and social criteria affects investments and shareholder value.
