| Abstract: | The subject of corporate governance has acquired more and more importance in recent years. Like other institutions the board of directors is becoming increasingly vulnerable to changes in the economic,political and social environment around the world. Different approaches to corporate governance are discussed presenting the West German two-tier board system and the U.S. one-tier system as prototypes. Research indicates that multinational corporations develop their own corporate governance systems integrating features of both systems. The presented sample includes 68 U.S. and 88 West German corporations. |
