| Abstract: | in this article the focus will primarily be on developments pertaining to the Draft Fifth Directive on company law and more particularly the parts thereof relating to the basic structure of the company and employee participation. These developments have so far not been analysed in a way focussing on the underlying approaches, since the need was always to focus only on the latest developments with regard to the various Drafts. It becomes clear that the hopeless state of affairs is explained by an approach of accomodation rather than harmonisation. |
