| Tiivistelmä: | The strategic readjustment of the state economy includes both the macro structure readjustment and the micro individual increase. The structural readjustment means the recognition of the leading role of the state economy and the merger is the approach to the individual increase. In China, the merger of enterprises is still far from being a virtuous circle, to which there are two obstacles: one is the unbalance of the liability capacity of the subject of merger and the liability burden of the object of merger. The solution is to remain unchanged the legal body position of the party to be merged and to form "Joint Ventures" with its own advantages and the disadvantages of the other party. The other one is the protectionism of the local government. The solution is to use power to restrict power. |
