| Tiivistelmä: | The bill to regulate "governance and transparency in the corporate environment", intended to supplement the Stock Corporation Act, the Commercial Code and some other statutes in certain (limited) areas, concerns itself, quite rightly, first and foremost with listed German stock corporations. However, into this category fall both corporate groups and the individual member corporations as is shown in empirical surveys carried out in 1993. Individual, listed stock corporations which are not part of a group are an exception. This fact is not considered to a large enough extent in the bill. And the corporate governance problems exist mainly at corporate group level. The big failures or plights of the recent years have been corporate group "cases". |
