| Tiivistelmä: | Since the introduction of corporate takeover and share exchange techniques to France, more than 400 such operations have been completed. Takeovers had to be moralized in order to give shareholders a complete and objective information, to remind executives of their responsibilities and to assure the transparency of the operations. Long experience has resulted in amendments to regulations to take into account the development of new practices by those involved in such operations. Among others these regulations were complemented by a decree obliging the initiator of a takeover bid to make a declaration of will concerning the future of the target society. |
