| Tiivistelmä: | The author discusses legal characteristics of mortgage bonds.Though the federal law on securities allows very broad possibilities in issuing bonds, the author maintains, that at this moment the conditions for issuing mortgage bonds have not been fulfilled.We speak about a specific bond , where bondholders have their debt secured by a mortgage on real estate which, however, is linked with mortgage loan given to investors into real property by bond issuer.With mortgage bond there is a connection of relations between bond issuer and bondholders on the one hand and between bond issuer as a simultaneous creditor and the debtors, investors into real property.The author analyzes more in detail the comparative legal regulation of mortgage bonds, i.e.Pfandbriefe in Germany and mortgage bonds in the U.S.A.Regarding the meaning of these bonds the author stresses the necessity to have special legal regulation on issuing mortgage bonds in Slovenia. |
