Tiivistelmä: | Under the law of companies the governing company in a contractual combine has the right to giving instructions to a dependent company for managing business.To understand unified management in a contractual combine the interpretation of the right to instructions is of particular importance.In the article the author discusses and by means of German legal theory explains some questions, which are most important for the understanding of the right to instructions.She explains the subject and the scope of the right to instructions, possible restrictions of this right under contract, under articles of association and under statute, and discusses the obligation of following the instructions.As the right to instructions is taken over from German law, the author strives for the provisions of the right to instructions in the law of companies to be interpreted in accordance with the standpoints of the German legal terminology. |
