Tiivistelmä: | Under Croatian law on companies a joint-stock company is a form of legal organization of a company regulated in a special chapter of the law.Croatian legal regulation resembles the Slovenian one, as both countries lean on German legal regulation, so that shareholders are not liable for the obligations of the company.The author discusses the following questions: incorporation of a joint-stock company, liability of the founders, gradual incorporating, legal relations between the company and the shareholders, bodies of the company (management, supervisory board, assembly - general assembly), minutes and the right to be informed, and amendment of the articles of association.Joint-stock companies perform mainly profit activities.They can also perform work which is not connected with profit making.The property of a joint-stock company is organized in a firm.Joint-stock company is a juristic person.In principle its legal capacity is unlimited. |
