| Tiivistelmä: | The article addresses corporate governance and its performance appraisal. Due to increased codes in corporate governance and shareholder expectations there is a need for boards of directors to demonstrate effective leadership, the ability to exercise corporate controls and show quality in decision-making porcess. The paper contributes to earlier studies on the role and effectiveness of board evaluation, and identifyes the board dynamics influencing the environment where boards operate. A suggestion for board evaluation process is made. |
