| Tiivistelmä: | By building on a knowledge-based view of the firm, the paper addresses a relatively unexplored area of roles and dynamics of corporate governance (hereafter as: g-c.) in younger, threshold firms (here as: th-fs.) undergoing a transition from the emergence to the professional management stage. This paper's analysis is focused on the process of capability development, exploring the effect of the asymmetry in knowledge that often exists btw. directors and senior managers on the governance of th-fs. Examined are the key sources of this asymmetry, and ways in which directors and senior executives learn. The implications of this learning on the evolution of governance systems in the th-fs. are discussed. |
