Tiivistelmä:The compensation of the members of the German stock corporations' two-tier board system is analysed. The study covers the year 1991 and includes 110 out of the biggest 120 traded companies. Special interest is attached to the impacts of shareholder structure and firm performance. Various hypotheses which have been put forward in the literature since the beginning of this century are tested. The empirical results show that the compensations of both boards (Vorstand (managing board) and Aufsichtsrat (supervisory board)) vary positively with firm performance in cross-section. Furthermore, the results exhibit differences in board compensations which are not related to performance but result from the firms' shareholder structure.
