| Tiivistelmä: | Directors are put to serious tests when their company becomes a target for acquisition. In almost every takeover, the director's potential exposure to litigation must be considered. Avoiding loss of objectivity, directors should establish a strategic planning committee. The committee should set up a framework for determining appropriate strategies regarding leverage, attractiveness and valuation. It should focus on how to make the company more efficient and valuable. Only through continual strategic thinking does a board of directors provide service to the company and its shareholders. |
