| Tiivistelmä: | One way of classifying different organizational structures of public companies is to examine the classic ownership-control dilemma. The cases of self-control and external control are examined. The recurring confusion about the relationship between decision making and control is investigated. A need of a clearer separation of the two concepts is emphasized. The sensitivity of the manager-shareholder relationship according to the type of organization is analyzed, seeking the form which is most appropriate to regulate the potential conflicts. Then the question of how the conflicts can be transformed - by adjusting remuneration, the management selection, and the system of capital transmission - is addressed. |
