| Tiivistelmä: | The role of the board of directors (hereafter as: b-of-d., for: 'board|s' as: brd|s.) in firm strategy has been the subject of debate for a long time. However, research efforts have suffered from several deficiencies. This paper proposes a new theoretical perspective to explain the brd's role in strategy, integrating organizational control and agency theories. A brd's approach to strategy is categorized according to two constructs: strategic control and financial control. The extent to which either construct is favoured depends on contextual factors such as brd. power, environmental uncertainty and information asymmetry. |
