| Tiivistelmä: | In the course of transformation of enterprises' system, the establishment, standardization and effective operation of corporate governance structure of stock companies are both a key point and a difficult point. The imperfect regulations and rules during the period of economic transformation lead to the fact that restraining relationship between factors in the corporate governance structure has not been shaped and so the governance structure can not play its due role. In view of them, this paper suggests the following: decentralize rationally stock rights, guarantee the rights and interests of a small number of stock holders with stock rights, determine a rational member structure of board of directors and strengthen the function of the board of supervisors. |
