| Tiivistelmä: | The modern enterprise system is a power system composed of proprietary right, controlling right, governing right and operation right. These four rights which are related with each other and distinct from each other promote the operation of enterprises jointly. The governing right is the power controlled by the board of directors, which conducts supervision and control of manegerial personnel with the aid of the shareholders or owners as the respresentatives of this power to avoid the damage to the right and interest of shareholders or owners resulting from separation of ownership from management. The company governance is not an isolated course and its operation and effect are affected by many factors like social pressure, economic control, structure of stock right and the organizational structure of board of directors, which must be considered fully. |
