Tiivistelmä:This paper explores the setting of executive remuneration in UK listed companies, reviewing the implications of following best practice in corporate governance and assessing how this can conflict with what shareholders and other stakeholders might perceive as good behaviour. The best practice includes the use of market benchmarks, performance-related pay, shared ownership, and a perceived need for conformity, in order to grant legitimacy to policies. Each of these, dispite their benefits, can potentially cause dysfunctional behaviour in executives.
