| Tiivistelmä: | Hardly any management decision can be taken in the United States today without close consultation with a lawyer. The role of the legal expert in the existence of the American corporation is analysed. The reasons for this predominant role, historical and legal are examined along with its consequences for the management and organization of companies. It is indicated that the cooperation between the engineer and the lawyer is particularly necessary in the field of manufacturing process. Taking a collective suit against company executives occurs much more frequently in the United States than in France because of the aggressiveness of some lawyers and the rigour of the law. |
