| Tiivistelmä: | The author consecrates central attention to the description of the phenomenon of uniting of the shareholders in decision-making and operating of a joint-stock company.In connection with this he particularly point out the reasons for the uniting of shareholders, which he sees in the need of protection of legal interest of those shareholders, who entrust their voting entitlement to third persons and in the need of a reasonable rationalization of implementation of managing entitlements of the shareholders with voting shares.With the comparative legal method the author points out also the useful and applicable foreign solutions. |
