Tiivistelmä: | The board of directors (hereafter as: b-of-drs.) belongs to internal governance mechanisms intended to ensure of the interests of shareholders and managers being closely aligned. The b-of-drs. also disciplines or removes ineffective management teams. This study reports on the diversity and independence of the board membership of 100 top Australian (here as: A.) companies in 2003. In the Asia-Pacific region, A. stock markets belong to the most developed ones. With the collapse of several well-known public companies such as Ansett, HIH, and OneTel, there is an increasing demand to evaluate the corporate governance (as: c-g.) practices of A. companies, incl. the board composition. Accordingly, this paper provides a timely review of the state of c-g. in the country as far as board composition is concerned. |
