| Tiivistelmä: | In managerial type companies, the problem of conflict of interest between shareholders and management is of considerable importance. The board of directors is the privileged scene of such confrontations, and therefore also of their resolution. The question is addressed whether it is really suited to such a role, and if so, under what conditions? Using a typology of company boards based on power relationships, the areas and extent of intervention are examined. It is demonstrated that the activity of the board of directors could have a positive impact on the company performance. |
