| Tiivistelmä: | The author states that corporate governance in the UK remains wedded to the unitary board and the primacy of the shareholder, despite a recent government review of company law. The discussion in this paper will concern itself exclusively with functions of the unitary board within the Anglo-Saxon country class. This article provides the key characteristics which, in combination, define the Anglo-Saxon countries: One principal stakeholder, a one-tier board of directors, stock market plays a more important role then in other countries, there is an active external market for corporate control, companies are relative widely held, performance- dependent schemes have always been common in the USA, this system is characterized by relatively short- term economic relations. |
