| Tiivistelmä: | Within the discussion on corporate governance in Germany most contributions deal with the effectiveness and efficiency of the supervisory board. In contrast to this the organization of the management board, especially the relations between chairman or speaker and ordinary board members, seems to be neglected field of research. In order to gain broader insights into the reality of directorial system of decision making, the paper tried not only to describe the legally defined competence structures within the management board but to show the mechanisms favouring the directorial system in big German corporations. |
