| Tiivistelmä: | An empirical assessment that compares board composition in corporations related to proportion of outside and nonmanagement board members and CEO duality role, where CEO role and chairperson role is held simultaneously. Samples are given of Japanese, UK and US firms. Differences in corporate governance dimensions are referred to, and board independence and implications related to international corporate governance are reviewed. Hypotheses concerning the composition of the board and Tables of variables and differences are given. The interaction between ownership and control, financial interests and senior management are also mentioned. |
