Tiivistelmä:It is demonstrated that managers and directors face a different and tougher set of challenges than they once did. Domestic and global competition has intensified, uncertainty has grown, and the pace of change is accelerating. The nature of corporate governance also has changed dramatically. Being a director of public company used to be a relatively calm and rewarding position. Now it is a hot seat. Tough issues concerning management-board conflicts (like hostile takeovers and management-led LBO proposals) and the business environment (like investments in South Africa and oil spills in Alaska) arise in quick succession. At the same time, lawsuits are more frequent raising risks to directors.
