| Tiivistelmä: | Sometimes the boards of directors are considered as extras in companies. Their members get fixed remunerations but rarely get regular and adequate information necessary to play an important role in strategic decision making. The problems of the right use of the board of directors is examined: 1. the legal framework of its work is investigated; 2. the relationship between company management and board of directors is explored; 3. the influence of shareholders is considered. Arguments are presented that the first and most important mission of the board of directors is to serve the capital owners' interests. Suggestions are made on how to make a much better use of boards of directors. |
