| Tiivistelmä: | In order to further improve the corporate governance of German companies, a reform of the legal framework for co-determination (henceforth as: co-det.) is urgently needed. After presenting and analyzing the major problems of co-det., this paper discusses five alternative approaches for modernizing co-det. It is concluded that the representation of the employees should be shifted from the supervisory board to a separate consultation council which has information and consultation rights regarding the strategic issues of the company group (original in German). |
