| Tiivistelmä: | The paper studies the performance of the common stocks of Delaware and non- Delaware firms during the Delaware legislature's debate and approval of an amendment to the Delaware General Corporation Law permitting the elimination of director liability. The authors also examine the stockholder returns surrounding the proxy and meeting dates for some Delaware firms. The results indicate that the first group performed worse than the second. |
