| Tiivistelmä: | In the analysis of takeovers and acquisitions wealth creation occupies center stage. However, questions have been raised about the role of bid resistance. There are two kinds of takeovers: first, disciplinary takeovers to remove underperforming management, second, takeovers to promote synergy by bringing together two firms that can perform more efficiently in concert than when operating individually. Disciplinary bids will usually be resisted while synergistic bids will usually be accepted. This paper investigates the determinants of, and the relationship between wealth creation and bid resistance in successful takeovers. |
