Tiivistelmä:This paper contributes to opening the 'black box' of boards of directors (hereafter as: b-of-dirs.), developing a conceptual model considering the impact of b-of-dirs. members' diversity, commitment and critical debate on board task effectiveness in performing its control tasks and service. Based on primary data gathered through a questionnaire survey, the model of controlling for board, firm and industry characteristics (here as: chars.) is tested. It is suggested that i. the identified predictors, and especially the b-of dirs. members' commitment, are far more important than board demographics to predict b-of-dirs. task performance (as: t-perf.), ii. firm and industry contexts exert a significant influence on b-of-dirs. t-perf., iii. predictors have a different impact on specific sets of tasks. Hence, the findings support the idea that several board chars. and contingencies at both industry and firm level must be noted in the board design.
