Data and empirical method to measure abnormal insider trading. Statistical experiments to test the predictions: insiders sell stock on private account before new issue announcements, and there is more insider selling before common stock and convertible debt issues than before straight debt issues. Two Exhibits illustrate the study. The Appendix covers 3 other measures of expected and abnormal insider trading. |
