| Tiivistelmä: | The common practice of participants in an unincorporated joint venture taking mutual cross charges over their contractual rights is inherently flawed for the same reason that Millet J. in Re Charge Card Services found it impossible for bankers to take mortgages or charges over their own depositor's credit balances. Lenders to participants also face the problem that charges or mortgages of the venturer's contractual rights are not registerable charges under the various company charge registration regimes and registration therefore gives no benefits to the lenders. |
