| Tiivistelmä: | A board's effectiveness can be compromised if the directors are not independent of their CEO. An independent director is free from any interest that could interfere with his or her ability to act in the corporation's best interests. The issue of independence was examined in a pilot study by conducting a few in-depth interviews with key executive and non-executive directors in UK and US companies. The responses seemed to concentrate on situations where director independence may be imperilled, enabling them to be categorised into four themes: power, ability, board management, and inconsistencies. |
