| Tiivistelmä: | The subjects of this article are private companies, law and legislation in United States stockholder's derivative actions and taxation. The author of this paper develops a model for the proactive management of legal responsibilities and applies it to legal developments that have particular relevance to privately owned firms in the United States. The paper also considers the emergence of the limited liability company and the proliferation of minority shareholder suits against majority stockholders. The author also pays attention enactment of tax rules that increase the adverse consequences of failures in record keeping and tax-related documentation. |
