Tiivistelmä:"Pay Without Performance: The Unfilled Promise of Executive Compensation" by L. Bebchuk and J. Fried (2004) challenges the view that executive remuneration (hereafter as: e-rem.) arrangements are designed to maximise shareholder value. This paper asserts the Bebchuk and Fried's approach illustrating issues that contribute to the problematic nature of e-rem. research. Especially, it is proposed that a priori conceptions about e-rem., methodological dogmatism in research approaches and a significant gap btw. theory and practice, each contribute to the lack of convergence in e-rem. research. Illustrative data from interview-based research with Australian non-executive directors supports the view that reliance on economic efficiency arguments alone does not provide a sufficient framework for explaining the subjective, judgemental and socially interactive processes involved in defining executive pay.
