| Tiivistelmä: | The most important duty of a board of directors is to monitor the performance of the managing director and the line managers reporting to him, to keep pressure on them to improve that performance. It is unrealistic to expect any board consisting wholly of the managing director and his subordinates to perform this critical function. Therefore a public company board must include some NXDs (non-executive directors). Such directors have an independent and objective view on issues where their wider experience of other companies and of the outside world can be of value to the company. NXDs replace management consultants who often had difficulties in getting client boards to act on their recommendations. |
