Tiivistelmä:This study explores the impact of board's (hereafter as: brd./brds.) quality as defined by a Score published in a Canadian National Newspaper on the performance (here as: perf.) of the firm. The brds. of 219 Canadian firms are ranked as to four board characteristics: composition of the brd., compensation of brd. members, shareholder rights, and disclosure. Firm perf. is defined by using traditional accounting-based measures such as ROI, ROE, EPS, and Market-to-book ratio and value creation-based measures such as EVA(R) and MVA. Different models of univariate and multivariate statistical analysis are adopted to test the effects of brd.'s quality on firm perf. There is no significant relationships shown btw. corporate governance and perf. when using traditional perf. measures. However, significant links are uncovered btw. brd.'s quality and perf. when the latter is captured by value perf. measures, such as market value added and economic value added.
